Brad has been in-house counsel for over 30 years, serving as either the sole attorney or one of just a small handful of attorneys for a variety of companies.     • Draft and file company formation documents, such as certificates of formation/incorporation, articles of incorporation, LLC agreements, and bylaws

    • Perform corporate secretarial work, such as drafting board and shareholder minutes, resolutions, and consents

    • Draft early-stage investment documents, such as founders share agreements, simple agreements for future equity (SAFEs)

    • Coordinate with legal specialists on later-stage investments, such as the due diligence process and equity agreements

    • Lead an effort to become certified under the EU-US Data Privacy Framework

    • Work closely with the data security team to assist with efforts to meet data security and other related requirements for various compliance certifications, such as SOC 2

    • Review potential new trademarks, as well as existing trademarks to recommend options to expand protections, and coordinate with trademark counsel (and help select such counsel if needed) to pursue trademark filings

    • Audit current usage of trademarks on websites, advertising, brochures, and other marketing materials to ensure such usage provides proper trademark protections

    • If desired, review potential third-party brand protection tools and assist with their implementation

    • Analyze potential patentability of technology and other inventions and coordinate with patent counsel (and help select such counsel if needed) to perform deeper analysis and pursue filings if warranted

    • Review current practices to protect trade secrets, draft trade secrets policy, and help implement this policy (including providing training as needed)

    • Draft domestic and international employee handbooks, offer letters, and employment agreements or review existing versions and recommend revisions

    • Draft employee proprietary rights agreements (or review existing ones), ensuring compliance with current laws addressing non-competition, non-solicitation, and other similar matters

    • Assist with the expansion of employees and contractors internationally, including the potential use of professional employment organizations

    • Audit existing employment practices, such as recruiting, wage and hour issues, job classifications, discrimination claim processes, performance management, and termination

    • Provide legal guidance on employee disputes, discipline, and terminations

    • Provide guidance in pre-litigation matters, such as giving advice on options to avoid litigation and drafting or responding to dispute letters

    • Coordinate as needed with litigation counsel, such as reviewing pleadings and responding to interrogatories, document production, and other discovery requests

    • Draft and negotiate settlement agreements and provide guidance on compliance with any injunctive relief obligations

    • Work with the insurance broker to secure appropriate insurance coverage, including general liability, directors and officers liability, and cyber-liability insurance policies

    • With the assistance of the insurance broker, file applicable insurance claims and continue to pursue them through their conclusion

    • Manage the due diligence process, reviewing and responding to requests on the sell-side and making requests and reviewing materials on the buy-side

    • Draft, review, and negotiate letters of intent and purchase agreements (or assist in the review of documents drafted by other counsel)

    • Prepare disclosure schedules as needed on sell-side transactions

    • Assist with ancillary matters, such as securing shareholder consent and drafting supporting documents
